Panasean was engaged to help craft the company’s equity narrative, support its corporate restructuring
efforts, and oversee the overall deal process leading to a successful fundraise in 2023 from a financial
investor.
1. IDENTIFYING THE MOST OPTIMAL STRUCTURE
We supported our client in identifying a transaction structure that offered both cost-efficiency and alignment with the founders' objectives. We examined multiple possible scenarios and, together with tax and legal counsel, provided recommendations to the company regarding the most advantageous structure. To ensure a seamless transaction, we furnished comprehensive action plans based on our extensive transaction experience that anticipated potential risks and included strategies to mitigate them to complete the process in the most tax efficient and commercially viable manner.
2. MANAGING THE OVERALL PROCESS
As the lead advisor, we supported the client in overseeing communications and working relationships with tax and legal counsel and independent external appraisers, as well as providing high-touch support throughout the negotiation process with the investor to ensure interests were aligned and that the transaction was executed thoroughly and in timely manner.
